Terms of Service
Last updated: [EFFECTIVE DATE] · Applies to ApexTrack (app.apextrack.io) and this site (apextrack.io)
Draft — not yet reviewed by counsel. This is written to accurately describe the product as it exists today — a closed beta with no live billing — rather than as a template padded with clauses for features that don't exist yet. It has not been reviewed by a lawyer. The safety disclaimer in particular should be checked against your jurisdiction and insurance position before this is relied on. Fields marked like this need a real value before publishing.

These terms govern your use of ApexTrack, provided by [LEGAL ENTITY NAME] ("we", "us"). By creating an account or using the app, you agree to them. If you're accepting on behalf of a team or organization, you're confirming you have the authority to do so.

1. What ApexTrack is

ApexTrack is an offline-first component lifecycle and traceability platform for motorsport teams: tracking part mileage against engineering life limits, QR-based scanning, quarantine/clearance workflows, and related fleet-management tools. ApexTrack is currently in closed beta — access is by invitation, there is no public self-service signup or paid subscription yet, and features and terms may change materially before a commercial launch.

2. Accounts

3. Your data

Your team retains ownership of the component, session, and fleet data you put into ApexTrack. You grant us the license we need to host, sync, back up, and process it in order to provide the service — nothing more. See our Privacy Policy for how personal data specifically is handled, including the audit-trail retention rationale.

4. Acceptable use

You agree not to:

5. Safety disclaimer — read this one

ApexTrack is a tracking and record-keeping tool. It is not a certified safety system, and it does not replace engineering judgment, physical inspection, or a manufacturer's own specifications.

The product computes Remaining Useful Life, flags near-limit and exceeded components, and enforces a quarantine workflow, based entirely on the mileage and limits your team enters. If that data is wrong, stale, or entered incorrectly, the product's output will be wrong too — it has no independent way to verify a physical part's actual condition.

Your team remains solely responsible for the airworthiness/raceworthiness of every component on every car, for verifying data accuracy, and for any decision to run, retire, or return a part to service. ApexTrack is a decision-support and record-keeping aid, not a substitute for that responsibility.

6. Availability

ApexTrack is built offline-first — core scanning, viewing, and local editing work without a network connection, syncing when connectivity returns. That said, during closed beta we do not offer an uptime service-level agreement for cloud sync, notifications, or the hosted API; treat the service as provided on a best-effort basis until a commercial SLA is published for paying tiers.

7. Fees

There is currently no billing — access during closed beta is [free / invitation-based — confirm]. When paid subscription tiers launch, this section will be replaced with actual billing terms (pricing, renewal, refund policy) before anyone is charged, and you'll be notified in advance.

8. Intellectual property

ApexTrack, the ApexTrack name, and the ApexTrack logo are [owned by LEGAL ENTITY NAME / trademark status TBD]. We retain all rights in the software itself; using the service doesn't transfer any of that to you beyond the right to use it as intended.

9. Termination

You may stop using the service at any time. We may suspend or terminate access for a violation of these terms, including attempts to breach another team's data isolation. On termination we'll make reasonable efforts to let a team export its operational data first, except where the account is terminated for a security or legal reason that makes that inappropriate. The audit-trail retention behavior described in the Privacy Policy applies regardless of termination.

10. Disclaimer of warranties

The service is provided "as is" and "as available." Beyond what's stated in §5 above, we don't warrant that the service will be uninterrupted, error-free, or fit for a particular purpose. [Standard jurisdiction-specific warranty disclaimer language — have counsel finalize.]

11. Limitation of liability

[Liability cap and exclusions — jurisdiction-specific, must be set by counsel. Given §5, this section deserves particular attention: confirm the safety disclaimer and any liability cap are consistent and enforceable together before publishing.]

12. Governing law

[Governing law / venue — to be set once the legal entity's jurisdiction is confirmed.]

13. Changes to these terms

If we make a material change, we'll update the date at the top of this page and, where reasonable, notify team admins directly before it takes effect.
